Role Description

Senior Corporate Governance Counsel

In this role, you will ensure strong corporate governance by coordinating and advising senior stakeholders on activities between the Board of Directors and Global Leadership Team as part of the Board Secretariat. Additionally, you will help drive effective execution of the Corporate Secretariat, with a potential IPO as one of several key strategic projects supporting LEO Pharma’s long-term success.

Your role

The role provides strategic legal capital markets and corporate governance advice, drives capital markets compliance, leads in executing general meetings, supports on share-based incentives, and advises on financing arrangements as well as D&O insurance matters to ensure compliance, strong governance and strategic alignment.

 

Key responsibilities:

 

· Advise on all matters of good corporate governance, including the Danish Corporate Governance Recommendations and proxy advisor voting guidelines.

· Advise on Danish company and capital markets law and assist in ensuring compliance with capital markets law through training and proactive guidance, incl. managing insider lists and trading windows.Support Investor Relations activities matters of public disclosure and the operations of the Disclosure Committee.

· Lead the planning and execution of general meetings of shareholders

· Support Global Rewards in structuring and implementing share-based incentive programs and public remuneration reporting.

· Advice on Directors & Officers (D&O) liability insurance and indemnification schemes.

· Advise Group Finance on financing arrangements.

 

Your qualifications

 

To succeed in this role, we imagine that you have the following qualifications:

 

· Master of Laws (cand.jur.), M.Sc. in Business Administration and Commercial Law (cand.merc.jur) or similar.

· Experience within company and capital markets law, ideally from an in-house legal role, though a strong background from a reputable law firm will also be valued.

· Proven ability to handle confidential and sensitive information with discretion, attention to detail, and resilience under pressure.

· Strong project management skills, able to drive complex initiatives to completion while managing multiple priorities in a fast-paced environment.

· Excellent communication, interpersonal, and relationship-building skills, with a collaborative approach across all levels and functions, and strong English skills both oral and written.
